This letter serves to confirm our understanding of the terms of our engagement. It also stipulates the type of services that we will provide and any limitations to those services.

Purpose, Scope, and Deliverables

We will provide web design services, including website design, web hosting, and web maintenance.

Project Period of Performance

The project will run from {{ proposal.commencement_date }} to {{ proposal.end_date }}. Work will only take place outside of these dates if agreed upon by both parties in an additional written contract.

Accountability

Any information that we acquire from the client will be kept confidential. We will not disclose any information to other parties except as required by law or with the client’s written consent.

Fees

The fees charged are based on mutually accepted rates upon acceptance and by month. This fee arrangement will only be subject to change under the following circumstances (list circumstances which may change the costs of providing the services).

Liability Limitation

Our liability is limited by a Professional Standards Legislation-approved scheme.

Deliverable Ownership

All original documents obtained from the client shall remain property of the client. However, we reserve the right to retain a reasonable number of copies of the originals for our records.

Any hard copy or electronic deliverables produced under this contract will be provided to the client but remain the property of the consulting firm.

Terms of Service

Website Design:

• All documents exchanged during the course of this contract will be considered confidential and treated as such.
• Deliverables will be limited to the following: account and login information, deployed website, backup copy of files, and a reference document in PDF describing how to make updates to the site.
• The client will provide the contractor with a complete list of website requirements via answers to the questionnaire.
• Once client sign off has been completed and the website is live, the contractor will only make updates to the site if the client has opted in for the monthly web maintenance service.
• All communications between the parties with respect to the provisions of this agreement shall be in writing.
• The consulting firm is as an independent contractor. The employees of our firm will remain as such throughout the entire contract.
• Contractor shall have no authority to act as an agent for, or on behalf of, the company in any manner.
• Contractor will not be entitled to benefits, including worker’s compensation, retirement, insurance, or other benefits for employees of the company.

Web Hosting:

• The contractor will issue a username and password.
• Scheduled maintenance will come with 48 hours notice for any offline times exceeding 30 minutes.
• We will perform routine backups of your data and recommend that clients do the same.

Web Maintenance:

• The client will be responsible for providing any new text or graphics to be added to the site, unless an additional contract pertaining to content creation has been negotiated.
• “Unused” website maintenance plan services will not rollover to future months.
• Updates will be completed within two business days, uncles urgent or rush notifications have been made, in which case updates will be made within one business day.
• Acceptable updates include: small text changes, adding/modifying a link, adding/changing an image, uploading an advertisement, changing a banner ad, adding/modifying a product, adding/modifying a calendar event, or modifying code. All other services will require an additional fee.

Confirmation of Terms of Service

Upon agreement with the terms, please sign and return this letter to indicate your understanding of the arrangements. Contract effectiveness is from the date of signing unless any change is communicated between the two parties.
